Foresight Health Coaching Month-to-Month Membership Agreement

1. Services Provided

Foresight Health Coaching (“Foresight,” “we,” “us,” or “our”) agrees to provide the client (“Client” or “you”) with health coaching services, which may include personalized coaching sessions, lesson content, accountability tools, and other performance-enhancing resources (collectively, the “Services”).

Any additional services may be agreed upon in writing between the parties.

2. Membership Term and Termination

• This is a month-to-month membership, effective from the date of your first payment.
  
• Either party may terminate this Agreement at any time with 14 days’ written notice via email.
  
• Foresight reserves the right to terminate the Agreement immediately if you breach any material provision.
  
• Upon termination, you will retain access to content delivered during your active subscription but will lose access to any continued coaching or future Services.
  
• Any mutual termination must be agreed upon in writing.
  

3. Compensation & Payment

• Monthly membership fees (the “Compensation”) are due in full at the start of each billing cycle.
  
• All payments are in USD.
  
• You are responsible for maintaining valid payment information. Failure to remit payment may result in service suspension or cancellation.
• Foresight will not reimburse clients for any incidental expenses incurred during participation.

4. Confidentiality

• We are committed to protecting your privacy and any Confidential Information shared during the coaching relationship.
  
• Confidential Information includes, but is not limited to: health records, assessments, discussions, proprietary methods, and results.
  
• Foresight will not disclose your information unless required by law or authorized by you.
  
• These confidentiality obligations survive the end of your membership.
  

5. Intellectual Property

• All content, systems, and frameworks provided by Foresight are proprietary and remain the intellectual property of Foresight.
  
• You receive a non-exclusive, limited-use license to access and use these materials for personal purposes only.
  
• You may not copy, share, sell, or reproduce Foresight materials without express written consent.
  

6. Independent Relationship

• Your participation in our coaching program does not create a partnership, employment, or joint venture.
  
• Foresight operates as an independent contractor providing services to you under a subscription agreement.
  
• We may engage third parties or subcontractors as needed to deliver the Services.
  

7. Autonomy and Delivery

• Foresight reserves full discretion over scheduling, tools, and methods used in providing Services.
  
• While your feedback is always welcome, Foresight retains the authority to determine the structure and approach to service delivery.

9. Indemnification

• You agree to indemnify and hold harmless Foresight, its affiliates, contractors, and staff against any claims or liabilities arising from your misuse of the Services or violation of this Agreement.
• This clause survives termination.
  
  

10. Modifications

• Foresight reserves the right to modify these Terms & Conditions at any time with reasonable notice to you via email or website update.
• Continued use of the Services constitutes acceptance of any updated terms.
  

11. No Exclusivity

• You are free to engage with other health or wellness professionals during or after this Agreement. Foresight may do the same.
  

12. Governing Law

This Agreement shall be governed in accordance with the laws of the State of New York.

13. Entire Agreement

This Agreement represents the full understanding between you and Foresight and supersedes all prior communications or understandings. No other representations, warranties, or conditions exist outside this Agreement.
